I General Principle
1. The official name of this association is Beijing Blockchain Application Association, abbreviated as BBAA.
2. The properties of Beijing Blockchain Application Association: Approved and registered by the Registration Authority of Beijing social organization and Beijing Municipal Civil Affairs Bureau,. Beijing Blockchain Application Association is a non-profit social group consisting of the Blockchain enterprises, platforms, service organizations, the relative institutions, qualified experts practitioners and people who are voluntary to participate. Beijing Investment Promotion Bureau is the business supervisor of Beijing Blockchain Application Association.
3. The aim of BBAA: Abiding by the Constitution, the law, the regulations and national policies of China, and adhering to social morality; BBAA conceives innovation-driven aim and focuses on improving the level of the Blockchain industry, in order to promote the innovation and development of the advanced technology.
4. Office address of Beijing Blockchain Application Association:1006 Room, Weishi Building, NO.39 College Road, Haidian District, Beijing.
II Business Scope
5. The business of BBAA include:
a) Carry out policy publicity about the Blockchain technology;
b) Professional training;
c) Monographic survey;
d) External exchange;
e) Consulting service;
f) Organize investigation;
g) Undertake and delegate;
h) Compile the publication
i)Fellowship activity
III Members
6. BBAA members include institutional members and individual members.
7. Applicants for membership should meet the following qualifications:
a) Uphold the Charter of BBAA;
b) Voluntarily apply to join BBAA;
c) Have certain power or influence in this field.
8. To become a BBAA member, the following procedures need to be followed:
a) Applicant submits membership application;
b) Application is deliberated and approved by the Council;
c) Council or institutions authorized by the Council issues certificate.
9. Members are entitled to the following rights:
a) to exercise the right to elect, to be elected and to vote;
b) to participate in activities organized by BBAA;
c) to enjoy the priority of BBAA service;
d) to have the rights of criticism, suggestion and supervision on the work of BBAA;
e) to join or quit BBAA freely.
10. Members are obliged to:
a) implement the decisions of BBAA;
b) safeguard the legitimate rights and interests and reputation of BBAA;
c) complete the tasks assigned by BBAA;
d) pay membership fee as required;
e) report relevant information and provide documents to BBAA;
f) take an active part in the activities organized by BBAA.
g) provide positive coordination in the supplement and preserve the website, publications and the database; and
h) designate particular department and personnel to be responsible for the liaison with the BBAA.
11. Members that wish to quit should inform BBAA in written form and return their membership certificates, and will be disqualified from membership automatically if one fails to pay membership fee as required for 1 year.
12. Members will be penalized for violations of laws, regulations and this Charter, with approval of the Council or the Standing Council, in the form of expulsion.
IV Organizational Structure
13. The Representative Assembly is the highest authority of BBAA, its main power includes:
a) to formulate and revise the charter;
b) to elect and dismiss President, Vice President, Secretary-General, and Supervisors;
c) to deliberate the work report and financial report of the Council and the Board of Supervisors;
d) to deliberate and decide on the important changes and affairs concerning the termination of this Association; and
e) to deliberate major affairs that need to be handled by the Representative Assembly.
14. The Representative (members) Assembly should be convened at least once every year. The Representative Assembly may br only convened with attendance of no less than 2/3 of the members (or member representatives). Resolutions need to be approved by no less than 2/3 of the Assembly attendees before becoming effective.
15. The Representative (members) Assembly serve a term of 4 years. Any early or delayed election needs to be approved by the Council, which is then reported to the competent business unit for deliberation, and if approved, reported to administrative agency for social organization registration for its approval, The election cannot be postponed for more than 1 year.
16. The Council is the executive body of the Representative Assembly. It takes charge of the daily operation of BBAA when the Assembly is out of session and is responsible for the Member (Representatives) Assembly .
17. The position power and responsibilities of the Council include:
a) to implement the resolutions of the Representative Assembly;
b) to prepare and convene the Representative Assembly;
c) to report the work and financial situation of BBAA to the Member (Representative) Assembly;
d) to elect and dismiss the President, the Vice President, Secretary-General, and the managing director, and to decide the hiring of the Honorary President and the Consultant;
e) to decide the admission and expulsion of members;
f) to decide the launch of branches, representative offices and entity institutions;
g) to decide on the Vice Secretary-General and heads of relevant institutions;
h) to steer the work of BBAA institutions;
i) to accept the suggestions of the Board of Supervisors in dealing with the disciplinary problems, to propose solutions and accept the supervision;
j) to formulate internal management rules;
k) to decide on major affairs that require Council deliberation.
18. The Council meeting can only be convened with attendance of no less than 2/3 of the Directors, resolutions need to be approved by no less than 2/3 of the meeting attendees before becoming effective.
19. The Council meeting should be convened at least once a year.
20. The President, Vice President, Secretary-General should meet the following qualifications:
a) Have sound political ideologies and follow the line, the principles and the policies of the Communist Party of China;
b) Have good reputation and are influential in the industry;
c) No more than 70 years old, and the Secretary-General works full time;
d) Healthy and capable of performing duties;
e) Have not been deprived of political rights; and
f) Have full capacity of for civil conduct.
21. The President is the Legal Representative of BBAA.
The Legal Representative of BBAA should not serve as Legal Representative of other organizations. The President shall serve no more than two terms.
22. The responsibilities of the President include:
a) to convene and preside the meetings of Council;
b) to examine the implementation of resolutions of the Representative Assembly;
c) to sign important documents on behalf of BBAA.
23. The responsibilities of the Vice President include:
a) to assist the President's work;
b) to attend activities at home and abroad on behalf of BBAA;
c) to table a proposal or make a report about the important decisions.
24. The responsibilities of the Secretary-General include:
a) to preside over the daily operation of the Secretariat and to organize the implementation of annual work plans;
b) to coordinate the branches, representative offices and entity institutions to carry out work;
c) to nominate the Vice Secretary-General and part of directors, and to leave the Council or the Standing Council to make the decision;
d) to decide the hiring, salary and reward of the full-time employees;
e) to handle other matters concerning BBAA.
25. The Board of Supervisors
The Board of Supervisors consisting of three members is elected by the Representative Assembly, and shall be responsible for the Representative Assembly. The responsibilities of it include:
a) to elect the Chairman of Supervisor Board;
b) to attend the Council meeting;
c) to supervise and guide members to carry out the activities in accordance with laws and regulations;
d) to supervise and guide the members to carry out the activities in accordance with the approved constitution, scope of business and internal management system;
e) to supervise the activities which violate the organization’s discipline and damage the reputation;
f) to supervise the management of the financial affairs;
g) to formulate effective suggestions and advice concerning the activities which violate the laws and regulations, and to subimit them to the Council to supervise the implementation.
V Assets Management
26. Sources of funding for BBAA include:
a) membership fees;
b) financial endowment;
c) government funding;
d) income from activities and services within the approved business scope;
e) interest;
f) other legal income.
27. BBAA collects membership fees in accordance with relevant national regulations.
28. The BBAA funding must be spent on businesses and undertakings within the scope specified in this Charter, and can not be distributed among the members.
29. BBAA establishes sound financial management system to ensure the legality, authenticity, accuracy and completeness of the accounting material.
30. BBAA employs qualified accounting professionals who perform accounting duties and exercise accounting control according to laws and regulations. Accountants are prohibited from serving as tellers. Accounting professionals, if transferred to other positions or leaving BBAA, should make sure that the work is handed over to the successor as required.
31. Asset management of BBAA adheres to the financial management system required by the country and is supervised by the Representative Assembly. Assets appropriated by the government or endowed by non-governmental organizations/ individuals should be reviewed by audit authorities, and relevant information of such assets should be disclosed to the public in appropriate ways.
32. In the case of leadership transition or change of Legal Representative, BBAA should receive financial audit organized by the registration authority.
33. Assets of BBAA should not be possessed, privately divided or embezzled by any entities or individuals.
34. The salary, insurance and benefits of the full-time employees of BBAA are decided according to relevant national regulations.
VI Termination Procedure
35. If BBAA fulfills its mission, is dissolved on its own or needs to de-register due to merger or demerger, the Council may file a motion for termination.
36. The motion for termination should be approved by the Representative Assembly and be reported to Beijing Investment Promotion Bureau for review and approval.
37. Before the termination of BBAA, a liquidation organization should be formed under the guidance of Beijing Investment Promotion Bureau and relevant authorities to deal with creditors' rights, debts and other matters arising possibly, during the liquidation process, no other activity is allowed.
38. The termination is effective after BBAA de-registers at the Registration Authority of Beijing social organization and Beijing Municipal Civil Affairs Bureau.

39. After the termination becomes effective, the remaining assets of BBAA should, under the supervision of Beijing Investment Promotion Bureau, be used to support undertakings relevant to the mission of BBAA in accordance with relevant national regulations.
VII Supplementary Provisions
40. The Charter is approved at the Representative Assembly on 30 March, 2018.
41. The right to interpret this Charter resides in council of BBAA.
42. The Charter becomes effective after being reviewed and approved by the Beijing Municipal Civil Affairs Bureau.
