1. The times are different, and the business environment and management methods have undergone tremendous changes.
Industrial era: demand exceeded supply, there were a large-scale homogenization of product production; Internet era: supply exceeds demand, there is large-scale personalized production. In the Internet era, what kind of organizational model is needed by the large-scale personalized services?
Responsibilities for key positions in enterprises with the combination of industry and finance: The CEO is responsible for the company's strategy formulation, valuation model, incentive mechanism, and corporate culture; the president is responsible for the operation and the company; the chairman is responsible to the shareholders; the secretary of the board is responsible for information disclosure, market value management, and shareholders; CFO is responsible for financing, investment, accounting, tax planning, business analysis, and shareholders; industry and finance combined enterprises come from investment institutions and financial institutions; traditional enterprise CFO = total accounting + financing director + investment director; CXO is responsible for corporate strategy Landing, resource integration, shareholder coordination; directors is supposed to do the professional work.
Mr. Zhu used a lot of time to systematically explain how to arrange the governance structure more appropriately. In fact, he pointed out the importance of “doing one’s respective duty, having clear goals, adapting to others, and working together”.
2. What is the reason for the linear decline of ROE among most Chinese and US listed companies in the past three years?
The actual situation of many joint-stock enterprises shows that the ROE is falling rapidly when the companies scale up. In fact, the expansion without increasing the ROE (labor productivity) is toward to the death; if the investment in new business exceeds the financial arrangement of the enterprise, the enterprise cannot ensure the growth of the core business, then the loss is not temporary, but is in a long-term. The ability of financial "conservative" is the survival of the company's life, such as Nokia, Motorola.
From the current situation, the maximization of shareholders' interests is no longer does not meet the needs of intellectual property capital of this era. The employment society disappears and the production relationship is inevitably transformed. The shareholding system, the business department system, the linear function system, the assembly line, and the scientific management are the products of the industrialization era. What mechanism is there for the “partners” to equate their rights and responsibilities to answer for the business results rather than the process.
Only by changing the production relationship and focusing on management can we solve the management problem!
The multi-level partnership system is now a magic weapon. In the past two years, more than 1,000 well-known companies have studied multi-level partnerships; many listed companies and leading enterprises have introduced multi-level partnerships. Such as A-share listed companies: Huaxia Happiness Foundation (stock code: 600340), Jiuqi Software (stock code: 002279), Rongzhilian (stock code: 002642), Huasheng Tiancheng (stock code: 600410) and so on. One listed company after implemented the multi-level partnership system, the total profit rose from 5.06 billion to 6.95 billion with an increase of 3.73%. A technology company implemented this system in the beginning of 2014. Its profit rose from minus 10 million in 2014 to 40 million in 2015, with a net increase of 50 million yuan.
Multi-level partner business responsibility system = business philosophy + self-operated business + business accounting system + multi-layer partner mechanism.
3. Blockchain is the most promising field in the world in the future, “the official regular army”.
The blockchain is a major change in the production relationship. It is often cheap to get the citizen's privacy commercialized. Ant Financial Service is not allowed by the State Council, and has it been approved to get the consumer's record? Is it legal? Our privacy is controlled, we generate such a large amount of traffic, only to investors, not to users. The tools of the blockchain are all local to the chatters, and all information platforms are left without leaving traces. The data on Taobao can only be used for payment. Today's blockchain is the like the Internet of 2001. The conclusion of the study is that it will be at least 30 times and 50 times at most in the next 5-10 years. It is a huge potential development opportunity.
